Terms of service
Who this is between
"We" and "us" means CydarPC, a Florida business. "You" means the company that buys a box, a subscription, or both, and the people it lets use the app.
What you are buying
- A subscription license to The Assistant for one company and one install. It covers the office license, the office seats and the crew seats you pay for. The customer portal is free with no limit.
- Hardware, if you buy a box from us. The box is yours once it is paid for. The software on it stays licensed, not sold.
- Installation and support, as described on the home page and in your quote.
Prices, seats and billing
- Prices are the ones on the home page the day you buy. Yearly billing takes 20 percent off and is paid once a year. We give 30 days' notice before any price change, and a change never applies in the middle of a year you already paid.
- Cards are charged through Stripe. We never see or store your card number.
- Seats can change at any time, up or down, from the License page in the app. A seat added mid-month is charged for the rest of the month; a seat removed stops being charged at the next bill.
- Only active people count. Deactivate a person and their seat stops.
- Yearly plans can also be paid by check. We then send you a license file that runs until the date on it.
Free months with a box
When you buy a box from us, the subscription starts with free months, by tier. Your card goes on file and nothing is charged until the free months end. Cancel before they end and nothing is ever charged. Your first yearly plan also gets the crew discount one step up. Neither applies to hardware bought elsewhere.
If payment stops
You get 10 days of warnings inside the app. After that, the office screens turn read-only until the subscription is paid. The crew app, the customer portal, the schedule, existing invoices and exports keep working. Nothing is ever deleted and the app never stops. Pay, and the office unlocks within the hour.
Cancelling
Cancel any time from the License page or by writing to us. A monthly plan runs to the end of the month already paid. A yearly plan runs to the end of the year already paid. Refunds are described in Refunds and cancellations.
Your data
- Everything you put into the app lives on your box, in your office. It is yours. You can export all of it at any time, subscribed or not.
- We do not have access to your box or your data. If you need help, you turn on remote support in the app for that session and turn it off after. We only connect while it is on.
- Keep backups. The app makes them for you on the box and can copy them to a drive or a second machine you choose. We are not responsible for data lost on a box we cannot reach.
Updates
Updates are included while you are subscribed. The box checks once a day whether a new version is current and installs it when you say so. An install that has stopped paying keeps the version it has.
Hardware warranty
- New parts carry the maker's warranty, which we pass on to you, plus one year of our labor to replace them.
- Used parts (the rescued, workstation and used-card tiers) carry 90 days from us, parts and labor.
- The warranty covers parts that fail in normal use. It does not cover damage from power surges without a surge protector, water, drops, or opening the box and changing parts yourself.
What the app is not
The Assistant drafts contracts, notices, invoices and other papers from wording that was written for Florida and the other states it supports. It is a tool, not a lawyer, an accountant or an insurance agent. You are responsible for what you send and sign. Have your attorney and accountant review the wording you use, and keep doing so when the law changes.
Acceptable use
Use the app for your own business. Do not resell the license, run one license for several companies, or try to defeat the license check. Do not use the texting and calling features in ways the law forbids; the app has consent rules built in and expects you to follow them.
Limits
We do our best to keep the app working and the box running. Still, software has bugs and hardware fails. To the extent Florida law allows, our responsibility to you is limited to what you paid us in the twelve months before the problem, and we are not responsible for lost profit, lost data on a box we cannot reach, or other indirect losses. Nothing here limits what the law does not let us limit.
Changes to these terms
If we change these terms we post the new date at the top and tell you by email at least 30 days before they apply. If you do not agree, you may cancel and the refund rules apply.
Law
These terms are under the laws of the State of Florida. Any dispute goes to the courts of the county where CydarPC is based, after we have both tried to settle it by talking first.
